Welcome to Ckeepr! These Terms of Service ("Terms") govern your use of the Ckeepr platform, including our website, mobile app, and related services (collectively, the "Services"). Gift certificates you create using Ckeepr remain your intellectual property, but you grant us a non-exclusive, worldwide, royalty-free license to host, display, and process them as needed to provide the Services.

3. Electronic Communications

When you use the Services or communicate with us through the platform (e.g., via email or support channels), you are doing so electronically. You consent to receive communications from us electronically, such as emails or in-app notices, related to your use of Ckeepr. These may include account updates, promotional offers, or support responses. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that they be in writing. Notices from us are considered delivered when sent to the email address or phone number you provide. 4. Your Content and Data

You may upload content (e.g., logos, customer data) and create gift certificates through Ckeepr. You are responsible for ensuring this content complies with these Terms and applicable laws. 5. Disclaimers

We strive to make Ckeepr reliable and user-friendly, but we do not guarantee the Services will meet all your needs. THE SERVICES ARE PROVIDED “AS IS.” We make no commitments about the accuracy, reliability, or availability of the Services, including features like certificate templates, QR code functionality, or integrations. Some jurisdictions provide implied warranties (e.g., merchantability, fitness for a particular purpose, non-infringement). To the extent permitted by law, we exclude all such warranties.

6. Limitation of Liability

Except where prohibited by law, Ckeepr and its affiliates, employees, or agents (the "Service Entities") shall not be liable for any indirect, special, incidental, consequential, or exemplary damages arising from your use of the Services or any third party’s use of the Services. When you sign up for Ckeepr or use features like the mobile app, certificate designer, or CRM integrations, we may automatically create an account for you if you don’t already have one. Personal or business information you provide (e.g., name, company details, branding) may be used or shared with our affiliates or partners (e.g., for CRM integrations or marketing campaigns) to improve your experience, consistent with our Privacy Policy. If you opt into automated marketing campaigns or share certificates with customers, you agree we may use your provided data to facilitate those actions.

8. Third-Party Interactions

If you integrate Ckeepr with third-party tools (e.g., CRMs) or share gift certificates with customers, you agree that your data may be shared with those third parties as necessary to enable the integration or redemption process. We are not responsible for the actions of third parties once your data is shared.

These Terms are governed by the laws of California, USA, without regard to conflict of law principles. Any disputes arising from your use of the Services will be resolved in the courts of California.
